Terms and Conditions for

Authorized Content Partner [Designer]  Revised 01-30-09

 

Role and Training: Designer’s general role is to assist Users (primarily small organizations), or their Solutions Partner [Consultant] in developing and uploading content necessary to drive Users’ participation in the Enfront marketing Suite. In this context the term “Designer” may also include word-crafters, photographers, or other providers of marketing content specifically created for use in the Enfront marketing Suite.

Unless specifically authorized by Enfront, Designer will work cooperatively with an authorized Consultant within a business arrangement directed by Consultant, and Designer will make no effort to undermine the relationship existing between Consultant and User.

Designer will participate in formal Enfront training as announced, to keep abreast of operational requirements and new developments.

Enfront will maintain a private website for communication of content specifications and new service opportunities; and Designer will visit this site regularly to remain current with important information.

Designer is an independent business entity, and the term “Partner” implies no legal, ownership, or employment  relationship with Enfront. 

Permission to Act: Designer will take no action that is not clearly approved by the User or Consultant being served, including but not limited to content development and content upload. Designer will clarify in advance the basis of billing and will invoice completed work at prices within the buyer’s expectation range.

Titles, Branding, Trademarks: Designer will be recognized as an “Authorized Content Partner” of Enfront and will display the Enfront logo with the words “Authorized Content Partner” in any presentation of elements of the Enfront marketing Suite.

In any marketing utilization of Client Path Marketing, Designer will assure that the following phrase is clearly presented: Client Path Marketing is a registered trademark of Enfront.inc.

Relationship with other Participants: Designer will operate with high regard to ethics, and will take no action harmful to the good name of Enfront.

Designer is free to set pricing for services, but these prices will be reasonable by industry standards and will be made known to contracting Participants to minimize dissatisfaction based on invoice vs. expectation.

 Designer will directly invoice for services rendered and Enfront makes no guarantee of timely payment; hence Designer should follow prudent practices regarding credit and collection.

Compliance: Designer will comply with all state and federal laws, including relevant sales tax responsibilities. Designer will operate with high regard to ethics, causing no negative reflection on the good name of Enfront or the Enfront brand.

Confidentiality: Designer’s use of the Enfront private website maintained for Content Partners includes plans, programs, and protocols that are considered protected intellectual property. Designer’s access to Enfront websites for the purposes of upload reveals certain methods and protocols that are considered protected property. Designer agrees, both during and after affiliation with Enfront, to divulge no information that might be used to advantage by an Enfront competitor.

Project Content: Designer will remain abreast of technical requirements for upload to the Enfront marketing Suite, and will quality check all work to assure compliance.

Termination: Enfront may discontinue Designer’s status in these instances:

- Violation of any terms herein.

- Repeated failure to deliver specification-compliant work.

- Two or more complaints regarding general performance or professionalism.

Additional Relevant Terms and Conditions: Participants are further bound by the Terms of specific Enfront services and the General Terms and Conditions including the introductory page.

Perceived inappropriate use of the Enfront Suite may be forwarded to the above address or to abuse@enfront.com, including performance by Consultants, Designers, or Vendors; and business conduct of Users. Enfront will investigate vigorously and contact you after investigation.
